Terms of Service

You must be at least 18 years old and legally capable of entering into a binding agreement to use 247 Blueprint OS or purchase a subscription.

By using the Services, you represent that you meet these requirements.

If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

The Services provide educational information, business-planning assistance, software tools, and AI-generated or automated business guidance.

The Services do not provide legal, tax, accounting, investment, financial, medical, or other regulated professional advice.

You remain responsible for your business decisions and for determining whether any recommendation, strategy, output, document, message, plan, or other information generated through the Services is appropriate for your circumstances.

You should obtain advice from qualified professionals when appropriate.

Certain portions of 247 Blueprint OS use artificial intelligence.

AI-generated outputs may be incomplete, inaccurate, outdated, inappropriate for your particular circumstances, or contain errors.

You agree to independently review important AI-generated content before using, publishing, sending, implementing, or relying on it.

AI-generated content should not be treated as a guarantee, prediction, professional opinion, or substitute for your own judgment.

You are responsible for decisions and actions you take based on information generated through the Services.

Entrepreneurship and business growth involve risk.

NX Level Marketing LLC does not guarantee:

• Revenue
• Profit
• Sales
• Customers or leads
• Financing
• Business growth
• Business survival
• Productivity improvements
• Marketing performance
• Conversion rates
• Cost savings
• Specific business outcomes

Examples, recommendations, scores, Blueprints, Next Moves, Money Moves, plans, and other outputs are provided as tools to assist your decision-making.

Your results depend on many factors outside our control, including your decisions, execution, market conditions, competition, customers, resources, experience, and other circumstances.

Certain Services require an account.

You agree to provide accurate information and keep your account information reasonably current.

You are responsible for safeguarding your login credentials and for activity occurring through your account.

You may not share account credentials in a manner that permits unauthorized use of a single-user account.

Notify us at info@nxlevelmarketing.com if you believe your account has been compromised.

Eligible new 247 Blueprint OS customers may receive a 14-day full-access free trial.

The current trial terms are:

• $0 due when the trial begins
• Credit or debit card required
• 14 days of full access
• Then $79 per month unless canceled before the trial ends
• Automatically renews monthly until canceled

Only one 247 Blueprint OS free trial is available per account unless NX Level Marketing LLC expressly provides otherwise.

Previous complimentary or promotional access that we specifically designate as not being a trial may not count as use of the one-time free trial.

By starting the trial and providing a payment method, you authorize our payment processor to charge the applicable subscription price when the trial ends unless you cancel before then.

After your free trial ends, your 247 Blueprint OS subscription will automatically convert to a paid subscription at $79 per month, unless you cancel before the trial expires.

Your subscription will then automatically renew each month until canceled.

By starting a subscription, you authorize Stripe, our payment processor, to charge your payment method for recurring subscription fees and applicable taxes or charges, if any.

We may change subscription pricing in the future. If we change the price applicable to an existing subscription, we will provide notice as required by applicable law before the new price applies.

You may cancel your 247 Blueprint OS subscription at any time through the available Membership/Billing functionality and Stripe Customer Portal.

If you cancel during the free trial before the first charge, your subscription will not convert to a paid monthly subscription.

If you cancel an active paid subscription, cancellation ordinarily takes effect at the end of the current paid billing period. You may continue using the Services through that period, subject to these Terms.

Canceling stops future renewal charges but does not retroactively cancel charges already incurred.

Except where required by applicable law, payments are non-refundable once charged.

We do not provide prorated refunds or credits for:

• Partial subscription periods
• Unused time
• Failure to use the Services
• Cancellation after a paid billing period has begun

When you cancel a paid subscription, you ordinarily retain access through the end of the applicable paid period.

If a subscription payment fails, we or our payment processor may attempt to collect the payment again.

247 Blueprint OS may provide a limited grace period following a failed payment. The current system provides up to three days of continued access following the first payment failure in a past-due episode.

If payment is not successfully recovered during the applicable grace period, access to subscription features may be restricted or suspended.

Updating your payment method or successfully resolving the outstanding payment may restore access, subject to your subscription status.

We may modify payment-recovery procedures as reasonably necessary to operate the Services.

If your 247 Blueprint OS subscription ends and you later reactivate it, you may be required to begin a new paid subscription at the then-current subscription price.

A returning customer who has already used the Blueprint OS free trial is not eligible for another free trial unless we expressly provide otherwise.

You retain ownership of business information, text, materials, and other original content you provide to the Services ("User Content"), subject to any rights owned by third parties.

You grant NX Level Marketing LLC a limited, non-exclusive right to host, process, reproduce, transmit, and otherwise use User Content as reasonably necessary to provide, maintain, secure, and improve the Services.

This permission continues only as reasonably necessary for those purposes and subject to our Privacy Policy and applicable law.

You represent that you have the necessary rights to provide User Content to the Services and that doing so does not violate another person's rights or applicable law.

The Services may help you generate business materials such as plans, offers, messaging, lead magnets, emails, acquisition strategies, and other content.

Subject to these Terms and applicable law, you may use outputs generated for you for your business purposes.

Because AI systems may generate similar or identical material for different users, we do not represent that AI-generated output is unique to you or eligible for intellectual-property protection.

You are responsible for reviewing outputs for accuracy, legality, intellectual-property issues, regulatory requirements, and suitability before using them.

The Services, including software, design, branding, workflows, methodologies, interfaces, proprietary content, documentation, and other materials provided by NX Level Marketing LLC, are owned by or licensed to NX Level Marketing LLC and are protected by applicable intellectual-property laws.

Except for rights expressly granted under these Terms, no rights are transferred to you.

You may not copy, reproduce, sell, sublicense, distribute, reverse engineer, scrape, or commercially exploit the Services themselves except as permitted by law or with our written authorization.

You may not use the Services to:

• Violate applicable law
• Infringe intellectual-property or privacy rights
• Access another person's account without authorization
• Interfere with the security or operation of the Services
• Introduce malware or malicious code
• Attempt to bypass authentication, subscription, or access controls
• Scrape or systematically extract protected Service content or data
• Reverse engineer the Services except where applicable law expressly permits it
• Use the Services for fraudulent, deceptive, abusive, or unlawful activity
• Misrepresent AI-generated content in a manner that violates applicable law
• Resell access to the Services without our written authorization

We may restrict or suspend access when reasonably necessary to address suspected violations, security threats, fraud, abuse, or legal requirements.

The Services rely on third-party providers, including providers for hosting, authentication, artificial intelligence, payment processing, and email-related functionality.

Your use of certain third-party services may also be subject to their own terms and policies.

NX Level Marketing LLC is not responsible for third-party services outside our reasonable control.

We work to maintain reliable Services but do not guarantee uninterrupted or error-free availability.

We may modify, update, add, remove, suspend, or discontinue features when reasonably necessary to maintain, improve, secure, or operate the Services.

We may perform maintenance that temporarily affects availability.

You may stop using the Services at any time.

We may suspend or terminate access if you materially violate these Terms, fail to pay applicable fees, misuse the Services, create security or legal risk, or where suspension or termination is reasonably necessary to protect the Services, our users, or third parties.

Termination does not eliminate obligations or liabilities that arose before termination.

Our collection and use of personal information is described in our Privacy Policy.

By using the Services, you acknowledge our Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

NX LEVEL MARKETING LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY OTHERWISE APPLY, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE EXTENT PERMITTED BY LAW.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR BUSINESS.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NX LEVEL MARKETING LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NX LEVEL MARKETING LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO NX LEVEL MARKETING LLC FOR 247 BLUEPRINT OS DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) $100.

Some jurisdictions do not permit certain limitations of liability, so these limitations apply only to the extent permitted by applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless NX Level Marketing LLC and its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and reasonable costs arising from:

• Your unlawful use of the Services
• Your material violation of these Terms
• User Content you submit that violates another person's rights
• Your implementation or use of generated outputs in violation of applicable law or third-party rights

This provision does not require indemnification to the extent a claim results from NX Level Marketing LLC's own conduct for which indemnification cannot lawfully be required.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

Before filing a legal action, you and NX Level Marketing LLC agree to make a reasonable good-faith effort to resolve the dispute informally.

Unless applicable law provides otherwise, legal proceedings arising from these Terms or the Services will be brought in a court of competent jurisdiction in Delaware.

This section does not currently require arbitration or waive your right to participate in a class action. Those provisions should not be added casually without legal review.

We may update these Terms as the Services, pricing, business practices, or legal requirements change.

When we update the Terms, we will revise the "Last Updated" date.

If a change materially affects an existing paid subscription or your legal rights, we may provide additional notice where required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by law.

You consent to receiving agreements, notices, disclosures, and other transactional communications electronically where permitted by law.

Marketing communications remain subject to the separate consent choices described in our Privacy Policy.

If a provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

These Terms, together with the Privacy Policy and any additional terms expressly presented when purchasing or using a particular Service, constitute the agreement between you and NX Level Marketing LLC concerning the Services.
